Terms of Service — PermitPortal

1. Agreement to Terms

These Terms of Service (“Terms”) form a binding agreement between you and PermitPortal, Inc. (“PermitPortal,” “we,” “us,” or “our”) governing your access to and use of our website and application (the “Service”). If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. If a separate written agreement between PermitPortal and your organization covers the Service, that agreement controls to the extent it conflicts with these Terms.

If you do not agree to these Terms, do not use the Service.

2. The Service

PermitPortal provides software for jurisdiction intelligence, parcel and land analysis, development schedule tracking, site due diligence, and related permitting workflows. We may add, change, or remove features from time to time. We may also suspend or discontinue any part of the Service, and will use reasonable efforts to notify account administrators of material changes.

3. Accounts and Security

You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly at founders@permitportalapp.com if you suspect any unauthorized use. We may suspend or terminate accounts that pose a security risk or violate these Terms.

You retain all rights in the project, parcel, document, and other content you submit to the Service (“Customer Content”). You grant us a limited, non-exclusive license to host, process, and display Customer Content solely to provide and improve the Service for you. You are responsible for ensuring you have the rights necessary to submit Customer Content and that doing so does not violate any law or third-party right.

6. Intellectual Property

The Service, including all software, content, and trademarks (excluding Customer Content), is owned by PermitPortal or its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights in the Service. You may provide feedback, and we may use it without restriction or obligation to you.

7. Third-Party Services

The Service integrates with third-party services and data sources. We are not responsible for third-party services, and your use of them may be governed by separate terms. Our Privacy Policy lists the sub-processors we use to operate the Service.

8. Disclaimers

The Service provides analytical estimates, scores, and informational outputs to support your decisions. It is not legal, engineering, financial, or professional advice, and outputs may be incomplete or inaccurate. You are responsible for independently verifying information before relying on it.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PERMITPORTAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You will defend, indemnify, and hold harmless PermitPortal from claims, damages, and expenses arising from your Customer Content, your use of the Service, or your violation of these Terms or applicable law, except to the extent caused by our gross negligence or willful misconduct.

11. Term and Termination

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Service or others. Upon termination, the rights granted to you end, and provisions that by their nature should survive (including ownership, disclaimers, and limitations of liability) will survive.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state and federal courts located in Delaware, and you consent to their jurisdiction, except where prohibited by applicable law.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
